General Terms and Conditions of Business for OCTOGREENHUB

A. General Terms and Conditions of Business (GTB)

These terms apply to the services provided via OCTOGREENHUB's online platform, which facilitates connections between renewable energy project developers and investors.

Provider: OCTOGREENHUB, a division of Octopus Impact Investment Group Inc., located at 2967 Dundas St. W. #700D, Toronto, ON M6P 1Z2, Canada.

§ 1 Scope of Application

1. These GTB apply to: a. The use of the OCTOGREENHUB online marketplace. b. Referral and brokerage services provided by OCTOGREENHUB related to renewable energy projects.
2. A "CUSTOMER" under these GTB refers to any natural person, legal entity, or partnership (with or without legal personality) that registers on OCTOGREENHUB and is granted access credentials.
3. OCTOGREENHUB's GTB shall exclusively apply. Deviating terms from a contracting party are not accepted unless explicitly agreed upon by OCTOGREENHUB.

§ 2 Registration, Contract Duration, and Termination

1. Customers must register on the OCTOGREENHUB platform using an email and chosen password, which is then verified for account activation. The contractual relationship begins once the account is activated.
2. The agreement is open-ended and may be terminated by either party with one month's notice to the end of any month, without affecting any ongoing fixed-term obligations.

§ 3 Service Description

1. OCTOGREENHUB provides a secured online platform for communication, verification, and facilitation of agreements related to the sale and purchase of renewable energy projects and rights.
2. Registered customers may list projects as "SUPPLIERS" or engage as "INTERESTED PARTIES". Only OCTOGREENHUB can facilitate initial contact between parties.
3. OCTOGREENHUB is not a party to any sale agreements between SUPPLIERS and INTERESTED PARTIES; such agreements are conducted externally from the platform.

§ 4 Use Conditions and Confidentiality

1. Information accessed through OCTOGREENHUB is strictly for the customer's use and must remain confidential.
2. Customers must promptly inform OCTOGREENHUB of any changes to their contact or company information.
3. Access data provided by OCTOGREENHUB should be kept secure and not shared with unauthorized third parties.

§ 5 Commission Fees

1. OCTOGREENHUB will charge a commission fee for the facilitation of contracts between providers and prospective buyers. The commission structure will be clearly detailed in the service agreement and is contingent upon successful transaction completion.
2. Commission fees are calculated based on project specifics and are outlined during the facilitation process.
3. In cases involving partners, the commission will be shared according to a separate internal agreement among OCTOGREENHUB and its partners.

§ 6 Partner Liabilities and Obligations

1. Where applicable, all liabilities and obligations under these terms extend to OCTOGREENHUB's partners involved in the project.
2. OCTOGREENHUB and its partners are jointly responsible for fulfilling the terms of the agreement as specified in these GTB.

§ 7 Data Protection

1. OCTOGREENHUB processes personal data in compliance with applicable laws and only uses such data as necessary for the fulfillment of the contract.
2. Customers have rights to access, correct, block, or delete their personal data, except where statutory retention requirements apply.

§ 8 Applicable Law and Jurisdiction

1. The laws of Canada shall govern these GTB. The place of fulfillment for all obligations, particularly payments and services, is Toronto, Ontario, Canada.
2. Disputes arising under these terms will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

§ 9 Amendments to the GTB

1. OCTOGREENHUB reserves the right to amend these terms without prior notice. Customers will be informed of any changes via email and will be deemed to have accepted the new terms if they do not object within two weeks of notification.

B. Notice of Right to Cancel

Customers may cancel their contract within 14 days of signing without needing to provide a reason. Cancellations must be communicated to OCTOGREENHUB through a clear written declaration to info@octogreenhub.com.
